5. Payment Terms

Fees for the Service are described on our pricing page. We reserve the right to change fees upon 30 days notice. Continued use after fee changes constitutes acceptance.

Payment processing is provided by third-party payment processors (e.g., Stripe, Shopify). You agree to comply with their terms of service in addition to these Terms.

5.3 Refunds and Disputes

Refund policies are determined by merchants using our platform. We are not responsible for refunds on transactions processed through our Service. Merchants are responsible for handling chargebacks and disputes.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Send Pay Links and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of content you submit through the Service. By submitting content, you grant us a license to use, modify, and display that content as necessary to provide the Service.

7. API Usage

If you use our API, you agree to:

• Use API keys securely and not share them publicly
• Comply with rate limits and usage restrictions
• Not attempt to reverse engineer or exploit the API
• Attribute Send Pay Links where required

8. Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including:

• Breach of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Excessive chargebacks or disputes

Upon termination, your right to use the Service will cease immediately. We will provide access to your data for a reasonable period to allow for export.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• NON-INFRINGEMENT
• UNINTERRUPTED OR ERROR-FREE OPERATION

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEND PAY LINKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Send Pay Links, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law provisions.

13. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be settled through binding arbitration in accordance with the rules of the American Arbitration Association.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the new Terms.
